Terms of Service

These Terms of Service govern your access to and use of the OperonAI website and software services provided by LLC "Aviant Core". By using OperonAI, you agree to these terms.

1. Service description

OperonAI is an AI-powered operations management platform for small and medium businesses. The service may include task management, CRM, team coordination, calendar, reminders, and AI-driven operational intelligence features.

2. Account responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all actions performed under your account. Organization administrators are responsible for managing team member access within their workspace.

3. Acceptable use

  • Do not misuse the platform, attempt unauthorized access, or interfere with service integrity.
  • Do not upload unlawful, harmful, or infringing content.
  • Do not use the service in ways that violate third-party rights or applicable regulations.
  • Do not attempt to reverse-engineer, decompile, or extract source code from the service.

4. Your data

You retain ownership of the content you submit to OperonAI. You grant OperonAI a limited license to host, process, and display that content only as needed to provide and improve the service.

You warrant and represent that you have all necessary rights, permissions, and authority to upload, store, and grant the AI agent access to any materials, documents, files, or other content you upload or make accessible through the Service, including materials accessed through integrations with Google Drive or other third-party services. You further warrant that the use of your materials by the Service and the AI agent to generate results does not and will not infringe the intellectual property rights, trade secret rights, privacy rights, or any other rights of any third party. You are solely responsible for the content of your materials and for the lawfulness of providing the Service with access to them. The Company does not and is not obligated to verify your ownership of or rights to your materials.

5. AI features and integrations

AI features process organization data through third-party AI providers configured by your administrator. Disclaimer: You are interacting with an AI system. The AI may make errors or provide inaccurate information. Outputs are recommendations, not guarantees. Optional integrations, including Google services, depend on the scopes you approve and the availability of those providers.

6. AI-generated results

All results generated by the AI agent within your account during the term of your subscription, including task drafts, proposed actions, analytical conclusions, digests, and other materials ("Results"), are provided to you under a non-exclusive, perpetual license to use the Results in your own business operations. For Results generated before the termination of your subscription or account, the license survives such termination.

We retain all intellectual property rights in the Service, including without limitation the source and object code, architecture, design and user interface, prompt system, templates, workflows, AI agent logic, and other technical, technological, and methodological documentation of the Service ("Technology"), regardless of whether individual elements of the Technology were used to generate the Results. The license granted in this section does not extend to the Technology as such and does not grant you any rights in it, other than the right to use the Service in accordance with these Terms.

7. Billing and subscriptions

OperonAI may offer Free, Pro, and Premium plans. Paid subscriptions are processed through our billing partner. Pricing, billing cycles, trials, and cancellation terms are presented during checkout.

8. Availability and changes

We may modify, suspend, or update features from time to time to improve reliability, security, or functionality. We will make reasonable efforts to communicate material changes when appropriate.

9. Intellectual property

All rights in the OperonAI service, branding, design, and documentation remain the property of OperonAI or its licensors, except for customer content, which remains yours.

10. Disclaimer and liability

The service is provided on an "as is" and "as available" basis, except where otherwise required by law. To the maximum extent permitted by law, OperonAI will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the service.

11. Indemnification

You agree to indemnify, defend, and hold harmless OperonAI (LLC "Aviant Core"), its officers, employees, and affiliates from and against any and all claims, demands, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your breach of the warranties provided in these Terms, including those in Section 4; (b) your unlawful uploading or use of materials to which you did not have the necessary rights. This obligation survives the termination of these Terms or your account.

12. Termination and governing law

We may suspend or terminate access for violations of these terms, non-payment, or other lawful reasons. These terms are governed by the laws of Ukraine, without regard to conflict-of-law principles.

13. Data Processing Agreement (DPA)

For customers subject to European data protection laws (GDPR), our Data Processing Agreement applies to your use of the Service and is incorporated by reference into these Terms. You can review it at our Data Processing Agreement page.
